The Vlge Referral Program ("Referral Program") is intended to reward organizations that introduce new community associations to the Vlge platform. By participating in the Referral Program, you agree to these Referral Program Terms and Conditions, as well as the Vlge Terms of Service and Privacy Policy, each of which is incorporated by reference.
Participation in the Referral Program is entirely voluntary. Organizations are not automatically enrolled and are under no obligation to participate. An organization is deemed to have opted into the Referral Program by accessing, copying, publishing, distributing, or otherwise sharing its unique referral link, or by otherwise participating in the Referral Program. By opting in, the participating organization agrees to these Referral Program Terms and Conditions, which supplement and form part of the Vlge Terms of Service.
These Referral Program Terms and Conditions supplement the Vlge Terms of Service and Privacy Policy, each of which is incorporated herein by reference. In the event of any conflict between these Referral Program Terms and Conditions and the Vlge Terms of Service, the Vlge Terms of Service shall control except to the extent these Referral Program Terms and Conditions expressly address the Referral Program. All provisions of the Vlge Terms of Service, including without limitation those relating to disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and modification of services, apply to the Referral Program.
Each organization participating in the Referral Program is provided with a unique referral link. Referrals must originate through that referral link or through another referral method expressly authorized by Vlge in order to be eligible for rewards. Vlge uses commercially reasonable methods to attribute referrals but does not guarantee that every referral will be successfully tracked or credited.
A referral will be considered a Qualified Referral only if the referred organization is a new customer that has not previously created a Vlge organization, initiated a free trial, or otherwise established a relationship with Vlge in the prior 12 months. The referred organization must complete the required organization setup during its trial period and remain in compliance with the Vlge Terms of Service. Vlge reserves the right to determine, in its sole discretion, whether a referral qualifies for rewards under this program.
Upon completion of a Qualified Referral's initial organization setup, the referring organization will receive a Ten Dollar ($10.00) promotional credit to its Vlge account. Promotional credits are issued solely for use within the Vlge platform and may be applied toward eligible subscription charges, postage, payment processing fees, and other Vlge services designated by Vlge. Promotional credits have no cash value, are non-transferable, may not be redeemed or exchanged for cash, and may not be sold or assigned.
If a Qualified Referral subsequently becomes a paying customer, the referring organization will receive an additional promotional credit equal to the referred organization's first monthly subscription charge, regardless of the billing frequency selected by the referred organization. If the referred organization elects quarterly, annual, or any other non-monthly billing option, Vlge will calculate the promotional credit based on the equivalent monthly subscription amount in effect at the time of the initial paid subscription. The promotional credit does not include taxes, payment processing fees, postage, third-party charges, promotional discounts, credits, refunds, chargebacks, or any other pass-through or non-subscription fees. Credits are generally issued 30 days after the referred organization's initial payment has been successfully processed and is no longer subject to reversal.
From time to time, Vlge may also choose to provide promotional gifts, gift cards, or other appreciation items in connection with successful referrals. Any such items are offered solely at Vlge's discretion, are promotional in nature, and do not form part of the guaranteed Referral Program benefits. Unless expressly stated otherwise by Vlge, any appreciation gift is intended for the benefit of the organization's volunteer leadership collectively and is not intended as compensation to any individual board member, director, officer, or volunteer.
The Referral Program is intended to encourage legitimate recommendations of the Vlge platform. Self-referrals, duplicate organizations, fictitious organizations, referrals created primarily to obtain promotional rewards, referrals generated through automated means, or any activity that Vlge reasonably believes to be fraudulent, deceptive, abusive, or inconsistent with the purpose of the Referral Program may be disqualified. Vlge may withhold, deny, reverse, or cancel any promotional credits or rewards if it determines that a participant has violated these Terms and Conditions or attempted to manipulate the Referral Program.
Promotional credits earned under the Referral Program may only be applied to an active Vlge account in good standing. If an organization's account is suspended, terminated, closed, or otherwise ceases to remain in good standing, Vlge may suspend or revoke unused promotional credits to the extent permitted by applicable law.
Participation in the Referral Program does not create any employment, agency, partnership, joint venture, or other business relationship between Vlge and any participant. Referral rewards are promotional incentives only and do not constitute commissions, compensation, or consideration for sales services.
Vlge may investigate any referral activity to verify compliance with these Terms and Conditions. Participants agree to cooperate with reasonable requests for information relating to referral activity, and Vlge may delay the issuance of rewards while conducting such a review.
Vlge reserves the right to modify, suspend, discontinue, or terminate the Referral Program, in whole or in part, at any time and for any reason, with or without notice. Vlge may also change eligibility requirements, reward amounts, qualifying events, redemption rules, expiration policies, or any other aspect of the Referral Program at its sole discretion. Any changes will apply prospectively unless otherwise required to address fraud, abuse, administrative error, or legal compliance.
Vlge's decisions regarding referral attribution, eligibility, qualification, reward issuance, reward reversal, and interpretation of these Terms and Conditions shall be final and binding. Except where prohibited by applicable law, Vlge shall have no liability for any inability to participate in the Referral Program, any tracking failure, any delayed or omitted reward, or the modification or termination of the Referral Program.
Except as expressly provided in these Referral Program Terms and Conditions, all rights and obligations relating to the Referral Program are governed by the Vlge Terms of Service.
